West Virginia LLC Filing Fees: The 2026 Numbers
Two kinds of money go into a West Virginia LLC: what the state charges and what your service provider charges. Both belong out in the open. Here is every fee, sourced from the Secretary of State's own schedule.
The $100 Formation Fee
Filing the Articles of Organization (Form LLD-1) with the West Virginia Secretary of State runs $100, set by W. Va. Code § 59-1-2. File online through the WV One Stop Business Portal (the portal adds a small processing fee, a single dollar, to online filings) or on paper with the Business & Licensing Division.
Veteran-owned organizations pay nothing: § 59-1-2(j) waives the formation fee outright.
The $25 Annual Report
Every year after formation, the state wants an annual report and $25. The filing window is January 1 through June 30, with the report due by July 1. File after July 1 and a $50 late fee applies, bringing a late report to $75 total. Let it slide 60 days past the due date and the state can administratively dissolve the LLC (§ 59-1-2a).
Two softeners worth knowing: veteran-owned businesses have the report fee waived for their first four years, and the 2026 fee schedule lists a two-year prepay option at $50 for those who prefer to handle a pair of report years in one payment.

The AAO is West Virginia's one-form solution for swapping agents, addresses, or officers; the incoming agent signs a consent right on the form. The $150 Certificate of Authority applies when an LLC formed elsewhere registers to do business in West Virginia.

Year One, Then Every Year After
