West Virginia Registered Agent Rules and the Statute Behind Them

Ask most formation guides and they will tell you every state forces you to appoint a registered agent. West Virginia is the exception that makes that advice wrong. The controlling statute, W. Va. Code § 31B-1-108, phrases the whole thing as an option. In statute language the role is called the "agent for service of process"; everywhere else it goes by registered agent, and it means the same thing: the person or company that receives lawsuits and official papers for your LLC.

What § 31B-1-108 Actually Says

The statute provides that an LLC "may continuously maintain in this state" an office and an agent for service of process. May. West Virginia law does not command you to hire or name an agent. What the Articles of Organization do require is a West Virginia designated office address: a real in-state location on the public record, though it need not be a place of business.

The Default: Service Through the Secretary of State

Skip naming an agent and the state supplies the fallback: the Secretary of State acts as your LLC's statutory attorney-in-fact for service of process. When someone sues the company, the papers go to a government office, get logged, and are relayed onward. That default works, but it is slow, impersonal, and entirely on the public record. Naming your own registered agent replaces the relay with a direct handoff: process reaches someone you chose the day it arrives, so you hear about a lawsuit at the start of your response window instead of partway through it.

Who Can Serve as a West Virginia Registered Agent

Under § 31B-1-108(b), the agent may be:

• An individual who resides in West Virginia
• A domestic corporation
• Another limited liability company
• A foreign corporation or foreign company authorized to do business in West Virginia
